David B. Eberhardt collaborates with businesses, their management teams and their owners to meet business objectives through practical, results-oriented legal advice.  For many years, in addition to being a partner in a large regional law firm and his own law firm, David was an executive of a large, complex business, and he uses his experience as “the client” to better respond to clients’ needs.  David’s practice focuses on mergers and acquisitions, commercial law, general business counseling and other corporate transactional matters, and his clients span the range from lower and middle market companies to publicly-traded businesses in a variety of industries.


Before returning to the private practice of law in 2009 as a partner at Miles & Stockbridge, P.C., a large regional law firm, David served as executive vice president and general counsel of US Foods, the second largest foodservice distributor in the U.S., with annual sales exceeding $20 billion and 25,000 employees. He was a key participant in the company’s mergers and acquisitions strategy, through which the company completed dozens of transactions with aggregate purchase/sales proceeds exceeding $15 billion. David led the legal and risk management functions of the company and managed a department of almost 50 employees, including 14 lawyers.


Through both his in-house and private practice experience, David has advised businesses in a wide array of legal issues, including acquisition and sale transactions, corporate governance, supply chain contracting, crisis management, risk management, the efficient and effective utilization of legal resources and the coordination of in-house and outside legal resources.


David was born in New Jersey, raised in Texas, and lives in Maryland with his wife and one of their two children.
