Capital Raises and Private Placements

We regularly advise clients on equity and debt capital raises for real estate and other business ventures through Regulation D private placement offerings (which avoids the regulatory burden of a public offering) whether for individual projects or funds.  We have over 80 years collective experience preparing private placements (and all other offering documents) through a variety of Regulation D offering structures and across multiple industry sectors, including real estate.  We serve a wide variety of issuers, from “one off” individual projects to real estate funds, and understand how to partner with and also lead clients through the capital raising process (as certain of our team members have personally raised capital for their own businesses through a traditional private placement offering).

We take pride in our proven ability to identify potential problems and spot issues which could cause significant delays or expenses to a project or transaction, and carefully suggest workarounds or ways to avoid any such impediments to the timely closing of a transaction or completion of a project.  On more than one occasion, our team members have solved complex situations by often taking unique and fully transparent approaches.  Further, in a number of instances, we have accomplished what other attorneys said was not possible.  We relish the challenge of doing what others say cannot be done. In addition to helping clients proactively avoid imbroglios and problem situations, we focus in helping clients work through and out of conflicts and seemingly unresolvable situations.  Dispute resolution and litigation is time-consuming, costly, and rarely productive we attempt to resolve conflict as easily and as cost effectively as possible.
